The terms and conditions governing your use of CoEntry Health Tech services.

Agreement to Terms

By accessing and using the services of CoEntry Health Tech ("CoEntry", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Our Services

CoEntry Health Tech provides specialized consulting services including:

  • • NHS market access and strategy consulting
  • • Digital health business development support
  • • Regulatory and compliance guidance
  • • Stakeholder engagement and relationship management
  • • Market research and analysis

All services are provided subject to separate service agreements and these terms.

Client Responsibilities

As our client, you agree to:

  • • Provide accurate and complete information necessary for our services
  • • Respond promptly to requests for information or clarification
  • • Comply with all applicable laws and regulations
  • • Maintain confidentiality of sensitive information shared by CoEntry
  • • Pay fees as agreed in separate service agreements
  • • Use our services only for legitimate business purposes

Intellectual Property

CoEntry IP: All methodologies, frameworks, templates, and know-how developed by CoEntry remain our intellectual property.

Client IP: You retain ownership of all information and materials provided to us.

Work Product: Deliverables created specifically for your project become your property upon full payment, except for CoEntry's underlying methodologies.

Third-Party IP: We respect third-party intellectual property rights and expect clients to do the same.

Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • • Proprietary business information
  • • Technical data and specifications
  • • Financial information
  • • Strategic plans and objectives
  • • Any information marked as confidential

This obligation continues for 5 years after the end of our business relationship.

Limitations and Disclaimers

Professional Advice: Our services constitute professional consulting advice based on our experience and expertise. However, all business decisions remain solely with the client.

No Guarantees: While we strive for excellence, we cannot guarantee specific outcomes or results from our consulting services.

Liability Limitation: Our liability is limited to the fees paid for the specific services in question.

Third-Party Actions: We are not responsible for actions or decisions made by NHS trusts, regulatory bodies, or other third parties.

Termination

Either party may terminate services with 30 days written notice. Upon termination:

  • • All outstanding fees become immediately due
  • • Confidentiality obligations continue
  • • Work product delivered to date becomes client property upon payment
  • • Both parties will cooperate in an orderly transition
